    摘要: 都市發展經過時間的演變,成為老舊窳陋的環境,面臨都市內人口、產業、經濟等活動的需求,改善都市環境品質的必要就成為提升都市化首要的課題,為能改善都市環境及提升都市競爭力,都市更新的推動成為都市發展的動力;臺灣實施都市更新以來,由於權利關係的複雜性及未考量都市環境再造隱含交易成本的問題,使得都市更新績效緩慢,造成推動困境的原因:1.少數堅持者行為;2.策略性要價行為;3.搭便車行為;4.資訊不對稱現象;5.不信任行為;6.尋租行為;在都市更新推動過程中「都市更新事業計畫同意書」是計畫能否推動關鍵,現行制度對都市更新事業計畫同意書的契約性質、契約內容、違約條款及解約損害之規範,以都市更新條例為依據,造成簽署過程的困難與衝突,探討牽動事業計劃的緣由可從不同面向分析之;本文以不完全契約觀點探討之,契約簽訂時協商後的契約參考值,更新事業計畫經主管機關核定公告後,簽約時契約預定參考值需修正,簽訂契約雙方面臨修正、撤銷及違約的選擇。在契約不可能完全下,如何建立有效率契約減少交易之爭端,透過不完全契約理論及相關理論,建構分析簽訂都市更新事業計畫同意書的考量,同意書契約需承擔的變數,控制契約權利的消長,以實際案例分析都市更新事業計畫同意書之不完全,對契約參考值修正、違約或解約之權利根源,進而研擬可改善的對策,填補契約不完全的空隙。
    本研究採用引用不完全契約理論及產權結構理論之相關文獻,分析都市更新事業計畫同意書的契約結構,分析契約不完全之緣由。都市更新事業計畫同意書屬長期契約,從簽訂至履約交易非一日可成,契約時程的落差產生契約的空隙,對契約空隙產生剩餘財產權歸屬的課題,該由契約雙方或單方索取,探討控制剩餘財產支配的權利歸屬,由相關理論以實際案例分析剩餘財產控制權歸屬的最適狀態,減少契約的不確定、不完全及不理性。故將研究內容包括:(1)不完全契約理論及相關理論之定義與結構,包括產權結構理論、委託代理理論、交易成本理論及拍賣理論之定義與結構(2)從都市更新事業計畫同意書之契約結構,分析簽訂同意書考量之參考值;(3)都市更新事業計畫同意書契約面臨之變數,產生契約空隙之填補課題;(4)以實例分析都市更新事業計畫同意書契約之控制權及剩餘財產權之支配權;從都市更新事業計畫同意書尚需釐清契約性質的課題,在契約不可能完全下減少契約變數及空隙,建構填補都市更新事業計畫同意書契約的監督機制,期能有效推動都市更新的政策。

    Urban development has evolved over time and has become an old and shabby environment. Facing the needs of urban population, industry, economic and other activities, the need to improve the quality of the urban environment has become the primary issue to enhance urbanization. In order to improve the urban environment and enhance urban competitiveness, the promotion of urban renewal have become the driving force for urban development. Since the beginning of urban renewal business plan in Taiwan, the complexity of power relations and the failure to consider the implicit transaction costs of urban environmental regeneration has slow down the effectiveness of urban renewal. The reasons for the implementation obstacles are: 1. the behavior of a few persisters; 2. strategic price asking behavior ; 3. free-riding behavior; 4. information asymmetry; 5. distrust behavior; 6. rent-seeking behavior;in the process of urban renewal implementation, the " Urban-Renewal Business Plan Consent Contract " is the key to whether the project can be promoted. Based on the Urban Renewal Act, the current system regulates the nature and the content of the contract, breach of contract clauses, and damages for termination of the contract in the urban renewal business plan Consent Contract. However, the updated regulations of the Act have caused difficulties and conflicts in the signing process. The reasons affecting the urban renewal business plan can be analyzed from different aspects.This article explores the contract reference value after negotiation from the perspective of incomplete contracts. After the renewal business plan is approved and announced by the concerned authority, the predetermined reference value of the contract needs to be revised at the time of signing. The parties who sign the contract will face modification, revocation and breach of contract. When contracts cannot be complete, how to establish effective contracts to reduce transaction disputes is vital. Through incomplete contract theory and related theories, we construct and analyze the considerations for signing a contract for urban renewal project plans, the variables that the consent contract must bear, and the rise and fall of control rights of contract. By using actual cases to analyze the incompleteness of the agreement for urban renewal business plans, and the root causes of rights in contract reference value modification, breach of contract or termination, so as to develop countermeasures that can fill the gaps in incomplete contracts.
    This study uses relevant literature of the incomplete contract theory and property rights structure theory to analyze the contract structure of the " Urban-Renewal Business Plan Consent Contract ", as well as the reasons for the incomplete contract. The agreement for the urban renewal business plan is a long-term contract, and the transaction from signing to completion cannot be done in one day. The gap in the contract time will cause gaps in the contract, and the issue of the ownership of the remaining property rights will arise in the gaps in the contract. This should be claimed by both parties to the contract or unilaterally. Discuss the ownership of the right to control the remaining property, analyze the optimal state of the ownership of the control right of the remaining property based on relevant theories and actual cases, and reduce the uncertainty, incompleteness and irrationality of the contract. Therefore, the research’s contents include: (1) the definition and structure of incomplete contract theory and related theories, including the definition and structure of property rights structure theory, principal-agent theory, transaction cost theory and auction theory (2) use the contract structure of urban-renewal business plan consent contract to analyze the reference value for consideration in signing the agreement; (3) the variables faced by the urban-renewal business plan consent contract lead to the issue of filling gaps in the contract; (4) use actual cases to analyzing the urban-renewal business plan consent contract and the right to control and manage the remaining property rights. There are still issues that need to be clarified about the nature of the contract in the urban-renewal business plan consent contract, to reduce contract variables and gaps when the contract is impossible to complete, and to establish a supervision mechanism to fill in the urban-renewal business plan consent contract, so as to effectively promote the policy of urban renewal.
