Abstract:	SPAC在世界各國掀起熱潮，各國紛紛修改上市規則，以符合當地投資環境的方式迎接SPAC。本研究將對於當前亞洲各國依照其當地資本市場環境所制定之不同SPAC上市規則做出分析比較，並與我國目前之交易制度與資本市場募資情形，進行全面性及系統性的整理分析，進而從外國發展經驗及落實結果，發展出適合我國之SPAC上市制度。並在檢視與分析各國SPAC上市制度可能對投資人權益所造成之風險與損害，反思我國應如何設計SPAC之上市制度，以及目前相關法規對於引進SPAC後之投資人保護與救濟是否充足，並做出相關修正之建議，以期對於我國資本市場之發展產生正面之助益。
