    Abstract: 隨著經濟自由化及全球化的發展,企業經營者面臨許多內憂外患,國內外的競爭壓力,必須不斷自我提升才得以維持競爭力,而面對經營權的問題,公司除了獲得投資者的支持外,並維持公司獲利,才得以持續經營公司,若有經營理念不合、併購利益或其他公司潛在利益出現,則容易產生經營權的爭奪。
    近年來,經營權爭奪的方式也很多種,除了可以透過董事會改選董事長,透過股東會或股東臨時會改選董事,也是常見的方式,但其中的攻防往往影響著公司。改選董事,委託書爭奪、召集程序的過程、開會的議事手段及透過定暫時狀態假處分,這些都是在經營權爭奪中常見的使用手段,而是否能夠合法的取得經營權,除了考驗公司派及市場派的進攻方法,法律及行政干涉的拿捏,也必須適當並且有效。
    商業變化的快速,僅要能在股份中取得優勢的一派,即被認為能夠在經營權爭奪上佔有優勢,但是其攻防手段有爭議時,往往需要透過司法介入,但司法救濟往往緩不濟急,常常後面的合法決議,能直接使公司持續經營,因此如何讓商業問題能夠快速地獲得正義,也正在考驗著司法的解決能力。商業法院的設置雖值得期待,但本質是如何這些常見攻防手段的違法防止,本文藉由將常見的爭議點出,以發現我國法規範的不足,進而提出建議,作為日後修法之參考。
    Following the development of economic liberalization and globalization, business management is facing numerous competition pressures, domestic and foreign. They must constantly improve themselves to maintain their competitiveness. In the face of the problem of business control rights, the corporate management need not only procure investment in addition to sustain the company’s profits, but continue to maintain day-to-day operation. Should there be any inconsistencies in business philosophies or corporate interests deriving from mergers and acquisitions or other potential opportunities, it is rather easy that completion for the business control would arise.
    In recent years, there have been many ways to fight over management rights. Besides re-election of the president through board of directors’ meeting, re-election of directors through the shareholders meeting or temporary shareholders meeting is also a common method. Meanwhile, the aforesaid offense and defense measures often will affect the company. Common methods used in the struggling for management rights, including but not limited to re-election of directors, proxy fight, convening procedures disputes, on-site meeting negotiation and maneuver as well as provisional measures. Whether the management rights can be legally obtained through any of these above means tests the corporate management’s proper administrative intervention versus the market invader’s offensive methods.
    The rapid changes in business industry require only the faction that can gain an edge in controlling shares, which is considered to have an advantage in the fight for management rights. However, when offensive or defensive methods adopted are in disputes, judicial intervention is frequently required; yet, judicial decree is usually delayed. Often subsequent legal resolutions can also directly enable the company to continue operating. Therefore, how to quickly obtain justice to resolve commercial issues is testing the judicial resolution ability. Although the establishment of commercial courts is worth looking forward to, the essence is to deter the illegitimacy of any of these common offensive and/or defensive methods. This thesis aims to point out hand-on controversies, seeks to discover deficiencies in our laws and regulations, and then makes suggestions for future reference of the legal reform.
