台灣銀行業不斷進行合併,追求規模經濟、降低成本並提升效率,近年來,企業社會責任(CSR)和公司治理逐漸備受重視,過去文獻諸多針對企業社會責任對企業績效之議題,鮮少文獻針對企業社會責任與公司治理機制之探討,故本文將討論我國銀行合併是否影響其從事企業社會責任、公司治理其銀行效率更佳。本文研究以2008年至2016年之我國銀行為研究對象,利用隨機邊界法(SFA),分別探討合併銀行與非合併銀行之企業社會責任、公司治理對銀行效率之影響;之後,再利用隨機共同邊界法(SMF),比較合併銀行與非合併銀行成本效率之差異性。研究結果顯示,首先,企業社會責任在合併銀行發揮其影響力並提升銀行效率。其次,公司治理部分,董事會學經歷背景多樣性愈高有助於合併銀行效率之提升,而非合併銀行之獨董增加,反降低其成本效率。第三,銀行特徵部分,外資持股比例增加,無論是合併銀行或非合併銀行,銀行成本效率均下降。最後,無論是技術缺口比率(TGR)與共同成本效率(MCE),合併銀行的效率皆優於非合併銀行。
Through bank mergers achieving economies of scale, reducing costs and increas-ing efficiency become one possible solution to ameliorate overbanking problem. In re-cent years, CSR and corporate governance (CG) have been gaining more attention. In the past, there were many studies on CSR for corporate performance issues, but few studies from the bank mergers and acquisitions point of view. In this paper, we discuss whether merger of banks in Taiwan have better effects on their CSR and CG. In this study, we take the banks of Taiwan from 2008 to 2016. Firstly, SFA was used to ex-plore the impact of CSR and CG related variables on bank efficiency respectively. Secondly, we employ the SMF to further compare the difference between the cost effi-ciency of the merged banks and the non-merged bank. Empirical result shows that, first of all, CSR can improve the efficiency of merged banks. In addition, CG the higher the background diversity of directors increase cost efficiency on merged banks; the in-crease in the independence of directors of the non-merged banks reduce bank efficien-cy. Third, in bank characteristics, the increase of foreign shareholding ratio reduce the efficiency of merged and non-merged banks. Finally, regardless of the TGR and MCE, the efficiency of the merged banks is better than the non-merged banks.
