本研究旨在探討我國勞工董事在公司治理中之角色與功能,以國營事業中之勞工董事為研究對象,採用訪談方式了解目前國營事業勞工董事之現況,輔以文獻探討其在公司治理之功能與角色,期望了解勞工董事在公司治理有何貢獻,並依研究結果對未來勞工董事制度之發展提供建議。研究結果如下:
一、勞工董事運作現況:勞工董事制度對於勞工董事之推選、撤換、任期皆有詳盡的規劃,惟對於勞工董事之監督考核有不足之處,是有待加強的部分。
二、勞工董事在公司治理之角色與功能:經過歸納整理得知勞工董事在公司治理中的角色有監督者、資訊揭露者、協調利害關係者三種角色。在功能方面,勞工董事可以強化董事會職能、發揮監察人功能及健全內部稽核,能發揮公司治理之部份功能。
三、勞工董事設置於一般民營企業的可行性:國營事業之特性乃是供應國民日常生活所必須的事業,在我國實施勞工董事制度係以勞工參與的角度上進行,與一般民營企業追求利益極大化不同,如要於民營企業中設置獨立董事仍有待詳加考量。
四、勞工董事與獨立董事的設置:考量國營事業董事會之官派公股董事之特性,以及目前勞工董事制度之運作,對於行政院欲於董事會設置獨立董事,二者功能有重疊的部分應詳加考量。
五、勞工董事遇到的困難:目前勞工董事所遇到的困難在於無法對轉投資事業進行監督、依賴非企業董事提供公司未來走向、專業知識仍需加強、諮詢委員會效果不彰,有待進一步的改善。
本研究根據以上結論針對政府、國營企業組織、工會以及勞工董事提出之建議如下:
一、對政府之建議:建議繼續加強工會功能以落實產業民主制度,以及獨立董事之推行應視國營事業之必要性。
二、對國營企業組織之建議:建議讓勞工董事參與企業重大事項之運作與討論,並讓勞工董事與一般董事有多元溝通的管道。
三、對工會之建議:建議加強落實諮詢委員會之功能讓勞工董事有充分的資源,對勞工董事當選之資格條件應以勞工董事能充分發揮其職務所應有之功能而有所限制,應安排相關專業知識課程並串聯各工會之勞工董事進行意見交流。
四、對勞工董事之建議:建議應致力提升自身之相關專業能力,以發揮勞工董事設置之目的。
This study investigates the role and function of worker director in corporate governance. By reviewing related literature and conducting in-depth interviews, this study found that worker director’s role and function is limited in corporate governance. The study concluded that to strengthen the role of worker director in corporate governance, the following measures should be taken:
1. While the institutional framework of worker director is comprehensive, improvement has to be considered in the worker director’s supervision and reviewing process.
2. There are three roles of worker director in corporate governance, including overseeing the function of the company board; disclosing company information to its members and; coordinating company stakeholders. These roles of worker director still need to strengthen if it is expected to perform better on its functions.
3. The establishment of worker director can only be considered in state-owned enterprises due to its special arrangement in corporate governance. It is not appropriate to set up such mechanism in private organizations in Taiwan because of different ideological foundation. .
4. The proposed setup of independent director in state-owned enterprises should be elaborated to consider the overlap of the role and function with worker director.
5. The difficult position of worker director is that worker director cannot supervise or perform its function in the other affiliated enterprises within the same business group. The knowledge and competency of worker director has to be improved if to perform such functions.
