董監事持股質押的問題主要來自於公司股價下跌時,董監事將面臨補提擔保品的壓力,董監事將會有誘因操弄盈餘,使盈餘品質下降。近年來女性主義的崛起,商場上女性勞動比率大幅提升。隨著勞動市場結構的變遷,改變董監事性別的組成配適,是否能提升公司治理,進而抑制董監事盈餘管理的程度。
本研究目的有二,首先探討台灣上市櫃公司董監事行使股權質押,是否誘導董事操弄盈餘,導致盈餘品質下降。其次,隨著勞動市場結構的變遷,女性主義的崛起,本研究擬探討台灣上市櫃公司若有女性董監事,是否能提升盈餘品質,有效抑制股權質押所衍生出的問題。
實證結果發現以台灣上市櫃公司而言,董監事行使股權質押後的盈餘品質會逐漸下降,而女性董監事愈多的公司,能提升盈餘品質。
The purpose of this study was two, First explore the Listed Companies in Taiwan directors and supervisors exercise of share pledge. Whether there is cause manipulation of the surplus of the Board of Directors, leading to the decline in earnings quality. Second, the rise of female consciousness, the Constitution of Di-rector Board was not accurate adjustment. Hence the present study further explored Board member of the listed companies in Taiwan are subject female directors and supervisors, and can improve the quality of earnings.
Based on Taiwan’s data, after exposing share collateralization, the cost of equity of earnings, showing the directors might bring the share collateralization into consideration for earnings equity. However, exposing female directors and super-visors might also raise quality of earnings and whole appearance which inhibition of pledge.
