    論文提要內容:
    為了繼續掌握生產、市場和技術優勢,很多高科技公司企業運用併購及其他投資方式,在各地建立生產銷售和研發創新的基地,邁向全球運籌經營。企業在進行併購後,如何有效引導組織往併購結合的目標前進,將會是最大的課題,併購後的整合經營與管理工作,決定併購的成功與否。
    過去學者的研究大多在探討併購後如何提升員工士氣,極少論及異文化管理以及整合文化之問題,本研究主要探討如何提高管理以達有效的企業併購,以及被併企業與主併企業間適合員工的去留問題。
    本研究以曾併購或被併購之銀行為分析單位,問卷發放對象為併購企業之執行併購活動的負責人、主管人員,或理解問卷題目內容之基層員工。本研究共計發放240份問卷,刪除無效問卷之後,有效問卷為183份,以簡單迴歸分析進行研究假設之實證。研究發現,企業併購整合管理與員工士氣具有正向關係,且異文化管理制度具有干擾效果。而本研究根據實證結果提出實務與未來研究之建議。

    In order to continue to control production, markets and technology, many high-tech companies use mergers and acquisitions and other types of investment, production and sales in and around the establishment of research and innovation base, into the global logistics business. Enterprises in mergers and acquisitions, how to effectively guide the organization with the goal to mergers and acquisitions, will be the biggest issue, post-merger integration business and management, decided the success of mergers and acquisitions.Mostly in the past scholars to explore how to improve staff morale after the merger, and very little discussion of cross-cultural management and cultural integration of the problem, this study focused on how to improve management to achieve effective corporate mergers and acquisitions, and by and with the main companies and enterprises for employees of the fate of the issue.
    In this study, acquisition or merger of the banks have as the unit of analysis, ques-tionnaires were issued for the acquisition of business of the executive head of mergers and acquisitions, executives, or to understand the subject content of the questionnaire level employees. In this study, a total of 240 questionnaires were issued, after deleting the invalid questionnaires, 183 valid questionnaires, hierarchical regression analysis to study the hypothesis of the evidence. The study found that M & A integration process has a positive relationship with employee morale, and cross-cultural management system with interference effects. The empirical results of this study is based practice and future research recommendations.
